Service availability, features, and pricing are subject to change. We will notify clients of material changes in advance.

3. Engagement Terms

All service engagements are subject to a separate service agreement. These Terms & Conditions form the general framework, but specific terms, pricing, timeline, and deliverables are defined in individual project agreements.

Timeline: Project timelines vary by service. Typical engagements range from 3 weeks (Talent Advisory) to 8 weeks (Financial Modelling). Timeline assumes timely provision of data and client cooperation.

4. Client Responsibilities

As a client, you agree to:

Provide accurate, complete, and timely data necessary for service delivery
Ensure you have authority to provide such data and engage our services
Maintain confidentiality of any proprietary methodologies we discuss
Designate a single point of contact for the engagement
Provide feedback and guidance within agreed timeframes
Comply with all applicable laws and regulations

5. Data and Confidentiality

Your Data: You retain all ownership and rights to data you provide. We use your data solely for delivering agreed services. Data is not shared with third parties without explicit consent, except as required by law.

Data Retention: Following project completion, we retain your data for up to 3 years for archival and dispute resolution purposes, then securely delete it.

6. Intellectual Property

Our IP: Zenolith retains ownership of methodologies, processes, software, and tools developed independently. You receive a non-exclusive license to use deliverables for your business purposes.

Your IP: You retain all intellectual property rights to your data and any pre-existing materials you provide.

Work Product: Reports, documentation, and analysis delivered as part of the engagement are licensed for your internal use. Reproduction or external distribution requires written permission.

7. Payment and Pricing

Pricing: Pricing is as specified in the service agreement. Prices are in Hong Kong Dollars (HKD).

Payment Terms: 50% deposit upon engagement commencement, 50% balance upon project completion. Invoices are payable within 14 days of issue.

Late Payments: Late payments may incur a 1.5% monthly interest charge. Failure to pay within 60 days may result in suspension of services.

8. Limitations and Disclaimers

No Guarantees: Machine learning models and analytics tools are probabilistic. We do not guarantee specific outcomes or accuracy levels. Results depend on data quality, model assumptions, and external factors beyond our control.

As-Is Delivery: Services and deliverables are provided on an "as-is" basis. We make no warranties beyond what is explicitly stated in the service agreement.

Professional Advice: Our services do not constitute legal, financial, or business advice. Clients should consult appropriate professionals for advice on how to use our insights.

External Factors: We are not responsible for outcomes affected by factors beyond our control, including data quality issues, business changes, or external market conditions.

9. Limitation of Liability

Except for breaches of data protection or gross negligence, our liability for any claim arising from services is limited to the fees paid for the specific service that gave rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless Zenolith from any claims, damages, or liabilities arising from your use of our services, violation of these terms, or infringement of third-party rights.

11. Termination

Termination by Client: You may terminate engagement with 14 days written notice. Fees already paid are non-refundable. You remain responsible for any work completed to date.

Termination by Zenolith: We may terminate for material breach, failure to pay, or if the engagement becomes impossible due to circumstances beyond our control.

12. Website Terms

You agree to use our website only for lawful purposes. You must not:

Attempt to gain unauthorised access to systems or data
Disrupt normal website operation
Harvest data or use automated tools without permission
Post content that is defamatory, illegal, or abusive
Infringe intellectual property rights

Violation may result in immediate termination of access and legal action.
